WORKSHOP ATTENDEE WAIVER

TERMS & CONDITIONS

The Workshop Attendee is participating in a workshop with Maria Rodriguez of Germinemos and Priscila Espinosa of SproutChange. certified Lifestyle Coaches by Uchee Pine Institute and Eden Valley Institute, respectively (“Coaches”).

Maria Rodriguez of Germinemos and Priscila Espinosa of SproutChange are speaking with the Workshop Attendee by video conference or in person to provide dietary, nutrition and wellness information, education, coaching, and counseling services to enhance the Workshop Attendee’s knowledge of health as it relates to foods, herbs, natural remedies, as well as habits/behaviors known to be associated with or affect diet, lifestyle, and/or wellness.

The Workshop Attendee understands that Maria Rodriguez of Germinemos and Priscila Espinosa of SproutChange may not be able to provide the Workshop Attendee with full and sufficient education during the initial Workshop and subsequent Workshops.

The Workshop Attendee acknowledges that Workshops are open to the public and any information they share may be available to a public audience. The Workshop Attendee further acknowledges that Workshops are recorded and these recordings will be made public, used for marketing purposes, and are proprietary to Germinemos and SproutChange.

Germinemos and SproutChange’s Coaches and consultants are not medical professionals.

Workshop Attendees and attendees of any of Germinemos and SproutChange’s programs or recipients of materials are advised to consult a medical professional or healthcare provider if they are seeking medical advice, diagnoses, or treatment or suffering from conditions requiring medical attention, or who have symptoms that concern them. The Workshop Attendee should not alter or cease their current professional medical care or treatment or medication or make any lifestyle and dietary changes or take or alter potential dietary supplements for any reason without consulting a medical professional. .

PERSONAL RESPONSIBILITY & RELEASE OF HEALTH CARE RELATED CLAIMS

The Workshop Attendee acknowledges that the Workshop Attendee takes full responsibility for the Workshop Attendee’s life and well-being, as well as the lives and well-being of the Workshop Attendee’s family members, children and wards (where applicable), and all decisions made during and after any of Germinemos and SproutChange’s Programs.

2. The Workshop Attendee, for their selves and any family members, children or wards expressly assumes all of the risks of the Programs and services provided pursuant to this Agreement, including the risks of trying new foods or supplements, and the risks inherent in making lifestyle changes.

3. The Workshop Attendee, for their selves, their family members, children and wards hereby releases Maria Rodriguez and Germinemos as well as Priscila Espinosa and SproutChange and its consultants and funders from any and all liability, damages, causes of action, allegations, suits, sums of money, claims and demands whatsoever, in law or equity (“Claims”), which the Workshop Attendee ever had, now has or will have in the future against Germinemos and/or Maria Rodriguez as well as SproutChange and/or Priscila Espinosa, arising from or relating to the Workshop Attendee’s past or future participation in, or otherwise with respect to, the Programs and services provided pursuant to this Agreement, unless and only to the extent Workshop Attendee can show such Claims arise directly from the gross negligence or willful misconduct of Germinemos and SproutChange. Neither party will have liability for direct or indirect, special or consequential damages of any kind. In no event shall a party’s liability to the other party or others under or in connection with the Agreement, programs, services or otherwise exceed one thousand ($1,000) dollars (this amount is exclusive of fees owed to Germinemos and SproutChange by the Workshop Attendee).

GENERAL

2. This Agreement shall be construed according to the laws of the Commonwealth of Massachusetts. In the event that any provision of this Agreement is deemed unenforceable, the remaining portions of the Agreement shall be severed and remain in full force.

3. This Agreement may be executed by PDF or other electronic means and in counterparts, each of which shall be deemed to be an original, and all of which, taken together, shall constitute one agreement binding on both parties hereto.

4. Each party represents and warrants that it/he has the right and capacity to enter into and perform this Agreement.

5. Notices: Any and all notices or other communications required hereunder shall be given in writing by personal delivery, overnight mail service (e.g., FedEx or UPS) or e-mail at the respective addresses set forth below or such other addresses as are given in writing in accordance with this provision. The parties represent and warrant that they will maintain at their own cost active addresses for receipt of notices and immediately update the other party regarding any changes in such address. Notice shall be deemed given on the date sent, unless, if notice is sent by personal delivery or e-mail after 5:00 p.m. local time on a business day it is deemed to have been sent on the next business day.

6. This Agreement contains the entire understanding of the parties hereto relating to the subject matter hereof and supersedes any prior understandings or agreements of the parties. This Agreement may not be modified or amended except in writing signed by all parties. Nothing contained herein shall be construed to create a partnership between the parties. This Agreement not assignable by Workshop Attendee and any purported assignment by Workshop Attendee shall be null and void ab initio.
